1. Annahme der Bedingungen

By accessing or using the VynCo platform, API, dashboard, or any related services (collectively, the “Service”) operated by VynCo (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service after any modifications to these Terms constitutes acceptance of those changes.

2. Definitionen

• “Platform” means the VynCo web dashboard at dashboard.vynco.ch and the REST API at api.vynco.ch.
• “API Key” means the unique authentication credential (prefixed vf_live_ or vf_test_) issued to your account.
• “Credits” means the usage units consumed when querying Swiss company data through the Service.
• “Output Data” means any company data, dossiers, or analytics results returned by the Service.
• “Subscription Tier” means your selected plan level (Free, Developer, Team, Scale, or Enterprise).

3. Kontoregistrierung und -sicherheit

1. You must provide accurate, complete, and current information during registration and keep your account information up to date.
2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. You must notify us immediately at security@vynco.ch if you become aware of any unauthorized use of your account.
4. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

4. API-Schlüssel und Zugang

1. API keys are issued per account and must not be shared, published in public repositories, or embedded in client-side code.
2. Live keys (vf_live_) consume credits from your subscription. Test keys (vf_test_) do not consume credits but are subject to rate limits.
3. You may generate up to the maximum number of API keys permitted by your Subscription Tier. We may revoke keys that violate these Terms or our rate limits.
4. API access is subject to rate limits as documented at docs.vynco.ch. Exceeding rate limits may result in temporary throttling or suspension.

5. Credit-System und Abrechnung

1. Credits are calculated as: rows x base_rate x complexity_multiplier x sector_multiplier x label_multiplier. Current rates are published on our Pricing page.
2. Each Subscription Tier includes a monthly credit allocation. Unused credits do not roll over between billing periods.
3. On paid tiers (Developer, Team, Scale, Enterprise), usage exceeding the included allocation incurs overage charges at the per-credit rate specified for your tier.
4. The Free tier has a hard cap of 10,000 credits per month with no overage option. When the cap is reached, generation requests will be rejected until the next billing cycle.
5. Plan upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.
6. All fees are in US dollars. Payments are processed through our third-party payment provider (Stripe). You agree to Stripe's terms of service as applicable.
7. We reserve the right to modify pricing with 30 days' prior written notice. Continued use of the Service after the effective date of a pricing change constitutes acceptance.

6. Nutzungsrichtlinien

You agree not to use the Service to:

1. Use the Service to deceive, defraud, or misrepresent company information to regulators, auditors, counterparties, or any third party.
2. Circumvent or attempt to circumvent rate limits, credit caps, or other usage restrictions.
3. Reverse-engineer, decompile, or disassemble any part of the Service, except to the extent permitted by applicable law.
4. Access the Service through automated means (bots, scrapers) except through our documented API and SDK interfaces.
5. Resell, sublicense, or redistribute API access or Output Data as a competing data-as-a-service offering without prior written consent.
6. Use the Service in violation of any applicable law, regulation, or third-party rights.
7. Transmit malicious code, viruses, or any other harmful content through the Service.

Use of VynCo services is subject to our Acceptable Use Policy, which provides additional detail on prohibited activities and enforcement procedures.

7. Geistiges Eigentum

1. The Service, including its underlying generation engine, algorithms, models, APIs, documentation, trademarks, and user interface design, is the proprietary property of VynCo and its licensors.
2. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it in accordance with these Terms.
3. “VynCo” and associated logos are trademarks of VynCo. You may not use them without our prior written consent, except to identify VynCo as the source of your data.

8. Daten- und Ausgabe-Eigentum

1. Your Data. You retain all rights to any data, configurations, or parameters you submit to the Service.
2. Output Data. Subject to your compliance with these Terms and payment of applicable fees, you own the Output Data generated by the Service for your account. You may use Output Data for any lawful purpose, including testing, development, model training, and demonstration.
3. Aggregated Data. We may collect and use anonymized, aggregated usage data (not including Output Data) to improve the Service, monitor performance, and generate analytics.

8.5 Nachweis für Open Government Data (OGD)

VynCo sources information from open government data published by Swiss authorities. This data is made available under open licenses and includes:

• Zefix: Swiss Commercial Register maintained by the Federal Office of Justice (FOJ)
• LINDAS: Linked Data Service operated by the Swiss Federal Statistical Office (FSO)

Use of this service implies acceptance of the terms under which these open government data sources are published. For details on OGD licensing and attribution, visit Zefix and LINDAS.

9. Datenschutz und Privatsphäre

1. Data Processing. VynCo processes personal data as described in our Privacy Policy. By using our services, you acknowledge this processing. Where VynCo processes personal data on your behalf, VynCo acts as a data processor under applicable data protection laws, including the Swiss Federal Data Protection Act (nDSG) as the primary framework, and the EU General Data Protection Regulation (GDPR) for EU residents.
2. Data Portability. You may export your account data at any time via the dashboard or API (GET /v1/account/export). Exported data is provided in machine-readable JSON format in accordance with GDPR Article 20.
3. Right to Erasure. You may request deletion of your account and all associated data by contacting privacy@vynco.ch or through dashboard settings. Upon deletion: (i) personal data is permanently removed within 30 days; (ii) generated datasets are purged within 7 days; (iii) aggregated and anonymized usage statistics may be retained, as they no longer constitute personal data.
4. Data Processing Agreement. Enterprise and Team tier customers may request a signed Data Processing Agreement (DPA). Our standard DPA is available at /legal/dpa. The DPA forms part of these Terms where applicable.
5. Sub-processors. VynCo engages certain third-party sub-processors to assist in providing the Service. A current list of sub-processors is maintained at /legal/subprocessors. We will notify customers of any changes to sub-processors with reasonable advance notice.
6. International Transfers. Where personal data is transferred outside the European Economic Area, VynCo ensures appropriate safeguards are in place, including Standard Contractual Clauses (SCCs) as approved by the European Commission.

10. Kündigung

1. By You. You may terminate your account at any time through the dashboard settings. Termination takes effect at the end of the current billing period.
2. By Us. We may suspend or terminate your account immediately and without notice if:
   • You breach any provision of these Terms or the Acceptable Use Policy.
   • Your account is used for fraudulent or illegal activity.
   • You fail to pay outstanding fees after 15 days' written notice.
   • We are required to do so by law or legal process.
3. Effect of Termination. Upon termination, your API keys are immediately revoked. You may request export of your Output Data within 30 days of termination. After 30 days, we may permanently delete your data.
4. Data Handling Upon Termination. Upon termination by either party, VynCo will: (i) allow data export for 30 days after termination via the dashboard or API (GET /v1/account/export); (ii) permanently delete all personal data within 60 days of the termination effective date; (iii) provide written confirmation of deletion upon request to privacy@vynco.ch. This is in addition to your rights under Section 9 (Data Protection and Privacy).
5. Sections 7 (Intellectual Property), 9 (Data Protection and Privacy), 11 (Disclaimer), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Governing Law) survive termination.

11. Haftungsausschluss

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Output Data is sourced from Swiss public registries (Zefix/LINDAS) and must be used in accordance with applicable open data licensing terms.

12. Haftungsbeschränkung

To the maximum extent permitted by applicable law, in no event shall VynCo, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims arising under these Terms shall not exceed the greater of (a) the amounts paid by you to VynCo during the 12 months preceding the claim, or (b) one hundred US dollars ($100).

13. Freistellung

You agree to indemnify, defend, and hold harmless VynCo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any Output Data you produce through the Service.

14. Anwendbares Recht

These Terms are governed by and construed in accordance with the substantive laws of Switzerland (particularly the Swiss Code of Obligations and the Federal Data Protection Act / nDSG), without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland.

Any claim or cause of action arising out of these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

15. Änderungen der Bedingungen

We may update these Terms from time to time. Material changes will be communicated via email or through the dashboard at least 30 days before taking effect. The “Last updated” date at the top of this page reflects the most recent revision. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
