Terms of Service

1. Acceptance of Terms
By accessing or using the VynCo platform, API, dashboard, or any related services (collectively, the "Service") operated by VynCo ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service after any modifications to these Terms constitutes acceptance of those changes.
2. Definitions
"Platform" means the VynCo web dashboard at dashboard.vynco.ch and the REST API at api.vynco.ch. "API Key" means the unique authentication credential (prefixed vc_live_ or vc_test_) issued to your account. "Output Data" means any company data retrieved or generated by the Service on your behalf. "Subscription Tier" means your selected plan level (Free, Starter, Professional, or Enterprise).
3. Account Registration and Security
You must provide accurate, complete, and current information during registration and keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at security@vynco.ch if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.
4. API Keys and Access
API keys are issued per account and must not be shared, published in public repositories, or embedded in client-side code. Live keys (vc_live_) count against the rate-limit quotas of your subscription tier. Test keys (vc_test_) are subject to the same rate limits but return mocked data. You may generate up to the maximum number of API keys permitted by your Subscription Tier. API access is subject to rate limits as documented at docs.vynco.ch.
5. Subscription Tier and Rate Limits
Each Subscription Tier unlocks a set of API endpoint groups and applies per-group rate limits (per hour for read endpoints, per day for AI generation and bulk processing). Exceeding a per-group rate limit returns HTTP 429 with a Retry-After header. Calling an endpoint group not unlocked on your tier returns HTTP 403. We do not charge usage-based overage; to raise a per-group limit, upgrade to a higher tier or contact sales for custom Enterprise add-on quotas. All fees are in Swiss francs (CHF). Payments are processed through Stripe. We reserve the right to modify pricing or quota ladders with 30 days' prior written notice.
6. Acceptable Use Policy
You agree not to use the Service to circumvent rate limits or quota allocations, reverse-engineer any part of the Service, resell or redistribute API access as a competing service without prior written consent, or use the Service in violation of any applicable law or regulation.
7. Intellectual Property
The Service, including its underlying algorithms, APIs, documentation, trademarks, and user interface design, is the proprietary property of VynCo and its licensors. "VynCo" and associated logos are trademarks of VynCo.
8. Data and Output Ownership
You retain all rights to any data, configurations, or parameters you submit to the Service. Subject to compliance with these Terms and payment of applicable fees, you own the data retrieved through the Service for your account. We may collect and use anonymized, aggregated usage data to improve the Service.
8.5 Open Government Data (OGD) Attribution
VynCo sources information from open government and public registry data published by Swiss and international authorities: Zefix (Swiss Commercial Register, Federal Office of Justice); SHAB / SOGC (Swiss Official Gazette of Commerce); SECO sanctions lists; OpenSanctions (international consolidated sanctions and PEP database); Wikidata (cross-references); and FAOA (Swiss Federal Audit Oversight Authority — audit firm registry). Use of this Service implies acceptance of the terms under which these open data sources are published.
9. Data Protection and Privacy
VynCo processes personal data as described in our Privacy Policy. You may export your account data at any time via the dashboard or API. You may request deletion of your account and all associated data by contacting privacy@vynco.ch or through dashboard settings. Professional tier customers (and Enterprise add-on customers) may request a signed Data Processing Agreement (DPA).
10. Termination
You may terminate your account at any time through the dashboard settings. We may suspend or terminate your account immediately if you breach any provision of these Terms, your account is used for fraudulent or illegal activity, or you fail to pay outstanding fees. Upon termination, your API keys are immediately revoked and you may request export of your data within 30 days.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VYNCO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. Our total aggregate liability for all claims shall not exceed the amounts paid by you to VynCo during the 12 months preceding the claim, or CHF 1'000.
13. Indemnification
You agree to indemnify, defend, and hold harmless VynCo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Governing Law
These Terms are governed by and construed in accordance with the substantive laws of Switzerland (particularly the Swiss Code of Obligations and the Federal Data Protection Act / nDSG), without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Zurich, Switzerland.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the dashboard at least 30 days before taking effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.
